Terms governing use of the HalaQR platform, including subscriptions, acceptable use, and compliance obligations.

These Terms & Conditions (“Terms”) constitute a binding agreement between you and HalaQR governing access to and use of the HalaQR website, dashboard, QR menu, ordering, kitchen, analytics, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of a business, you represent that you have authority to bind that business.

1. The Service

HalaQR provides a software-as-a-service platform enabling restaurants and hospitality operators to publish digital menus, generate QR codes, manage table or room ordering, coordinate kitchen workflows, and access operational analytics.

We may update, improve, or discontinue features from time to time. We will use reasonable efforts to avoid material adverse changes to core functionality during an active paid subscription term, subject to security, legal, or operational requirements.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into contracts to register. Business accounts must provide accurate registration information and keep credentials confidential.

You are responsible for all activity under your account and for ensuring that staff users are authorized and trained in appropriate use of the Service.

3. Plans, fees, and billing

Certain features are available on free or paid plans as described on our pricing page. Paid subscriptions renew according to the billing cycle selected unless cancelled in accordance with these Terms.

Fees are exclusive of applicable taxes unless stated otherwise. Failure to pay may result in suspension or termination of paid features.

Unless required by law or expressly stated, fees are non-refundable for partial billing periods.

4. Tenant responsibilities

As a restaurant or hospitality operator using HalaQR, you agree to:

  • Comply with all applicable laws, including the PDPL, consumer protection, food safety, and hospitality regulations in your jurisdiction.
  • Provide accurate menu, pricing, allergen, and availability information to guests.
  • Publish your own privacy notice to guests where you act as data controller, and obtain valid consent where required.
  • Use guest and staff personal data only for lawful purposes connected to your operations.
  • Ensure payment, tax, and fulfillment obligations to guests are handled outside or through your own processes unless explicitly integrated.

5. Acceptable use

You must not:

  • Use the Service for unlawful, fraudulent, or harmful activities.
  • Upload malware, attempt unauthorized access, or interfere with platform security or availability.
  • Infringe intellectual property, privacy, or other rights of third parties.
  • Reverse engineer, scrape, or resell the Service except as expressly permitted.
  • Misrepresent your identity, impersonate others, or use the Service to send unsolicited communications in violation of law.

6. Data protection and PDPL compliance

Each party will comply with applicable personal data protection laws, including the PDPL and NDMO standards relevant to its role.

Where HalaQR processes personal data on your behalf, we act as a processor and will process such data only according to your documented instructions, our Privacy Policy, and any applicable data processing terms.

You are responsible for determining lawful bases, providing required notices, and responding to data subject requests for guest data you control. We provide reasonable assistance where required by law.

7. Security and NCA alignment

HalaQR maintains security measures aligned with the NCA Essential Cybersecurity Controls (ECC) appropriate to a cloud SaaS provider.

You are responsible for securing your account credentials, configuring appropriate staff roles, and following security guidance we publish. You must promptly notify us of any suspected unauthorized access to your account.

8. Intellectual property

HalaQR and its licensors retain all rights in the Service, software, branding, documentation, and underlying technology. These Terms do not grant you any ownership rights.

You retain ownership of content you upload, including menus, images, and branding. You grant HalaQR a limited license to host, display, and process your content solely to provide the Service.

9. Availability and support

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or force majeure events may affect availability.

Support channels and response times may vary by plan. Critical security issues should be reported promptly to security@halaqr.com.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers are prohibited.

HalaQR does not provide legal, tax, or food-safety advice. You are solely responsible for your compliance obligations and guest-facing representations.

11. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

HalaQR’s aggregate liability arising out of or relating to the Service will not exceed the fees paid by you to HalaQR in the twelve (12) months preceding the event giving rise to the claim, except where liability cannot be limited under applicable law.

12. Indemnification

You will indemnify and hold harmless HalaQR from claims, damages, and expenses arising from your content, your breach of these Terms, your violation of law, or disputes between you and your guests, except to the extent caused by HalaQR’s gross negligence or willful misconduct.

13. Suspension and termination

You may cancel your subscription according to dashboard or billing instructions. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, pose a security risk, or where required by law.

Upon termination, your right to use the Service ceases. We may retain or delete data according to our Privacy Policy and legal obligations. You should export data you wish to retain before closure where export features are available.

14. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles.

The parties will attempt to resolve disputes in good faith. Subject to mandatory legal provisions, courts in the Kingdom of Saudi Arabia shall have jurisdiction over disputes arising from these Terms.

15. General provisions

If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

These Terms, together with the Privacy Policy and any order form or plan description, constitute the entire agreement regarding the Service.
